Please read these Terms of Service carefully before using the Genius Catalyst Cafe website or any of our services. By accessing or using any part of our Service, you agree to be bound by these terms. If you do not agree, please do not use our Service.

1. About Us

Genius Catalyst Cafe is operated by Genius Catalyst Inc., a company incorporated in the State of California, United States (registered address: 23371 Mulholland Drive #131, Woodland Hills, CA 91364).

We provide personal development and coaching resources, including online programmes, courses, and the Digital Michael AI service. Throughout these Terms, “we”, “us”, and “our” refer to Genius Catalyst Inc., and “you” refers to the individual accessing or using our Service.

2. Our Services

We offer the following services through the Genius Catalyst Cafe website and associated platforms:

• Digital Michael – an AI simulation of Michael Neill, available via the Genius Catalyst Cafe website, the Caffeine for Soul app, and Telegram
• Online programmes and courses – personal development content delivered digitally
• Subscriptions – recurring access to Digital Michael and/or other content
• The Caffeine for Soul app – available via the Apple App Store and Google Play Store

We reserve the right to modify, suspend, or discontinue any part of our Service at any time, with or without notice.

3. Eligibility

You must be at least 18 years of age to use our Service. By using our Service, you confirm that you are 18 or older and that you have the legal capacity to enter into a binding agreement.

4. Digital Michael – Disclaimer & Waiver

This section applies specifically to the Digital Michael AI service. It forms part of these Terms and is incorporated by reference into our checkout agreement.

4.1 What is Digital Michael?

Digital Michael is an AI simulation – a digital twin of Michael Neill, trained on his work, his voice, and his philosophy. It is designed to help you think out loud, find clarity, and reconnect with your own wisdom.

Digital Michael may have surprisingly human-like conversations and help you see things differently. However, it is not Michael Neill, and it is not a licensed therapist, counsellor, psychologist, or any other regulated health or mental health professional.

4.2 Educational Purposes & Personal Responsibility

Digital Michael is provided for educational and personal development purposes only. It is not a substitute for medical or psychological treatment.

By purchasing and using Digital Michael, you acknowledge and agree that:

• You remain fully responsible for your own choices, actions, thoughts, and feelings throughout your use of the service.
• The insights, perspectives, and responses offered by Digital Michael are for your own personal exploration and do not constitute professional advice of any kind.
• You will exercise your own judgement and seek appropriate professional support whenever necessary.

4.3 Limitations & Crisis Situations

Digital Michael is available 24/7 and will never have an off day. However, it cannot replace human connection, and it is not a substitute for real relationships, professional therapy, or the kind of support that comes from being truly seen by another human being.

Digital Michael is not appropriate as the sole or primary source of support in connection with:

• Suicidal thoughts, intent, or behaviour
• Self-harm or risk of harm to others
• Acute mental health crises or psychiatric emergencies
• Any situation requiring clinical diagnosis, prescription, or professional intervention

If you are in immediate danger or experiencing a mental health emergency, please stop using this service and contact emergency services (999 / 911) or a trained professional immediately.

4.4 Privacy & Confidentiality

Each conversation with Digital Michael is separate and confidential. Your data is stored securely and used solely to enable Digital Michael to respond to you. Digital Michael does not mine your personal information to sell you things or to train unrelated AI systems.

Please be aware that:

• No system can guarantee absolute security. While every reasonable step is taken to protect your data, you share information at your own risk.
• Digital Michael is not subject to the same confidentiality obligations as a licensed therapist or counsellor.
• Do not share information you would not want stored on a third-party server.

4.5 Liability Waiver for Digital Michael

To the fullest extent permitted by applicable law, you agree that you will not, under any circumstances, hold Michael Neill, Genius Catalyst Inc., or any of their employees, contractors, affiliates, or assigns liable for any loss, injury, damage, cost, or expense – whether direct, indirect, special, incidental, or consequential – arising out of or in connection with your purchase of or participation in Digital Michael, in perpetuity.

Genius Catalyst Inc. makes no warranty, express or implied, as to the accuracy, completeness, fitness for purpose, or results of the Digital Michael service. You use the service entirely at your own risk.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraudulent misrepresentation.

5. User Accounts

To access certain parts of our Service, you will need to create an account. You agree to:

• Provide accurate and complete information when creating your account
• Keep your login credentials confidential
• Notify us immediately of any unauthorised access to your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that are found to be in breach of these Terms.

6. Purchases & Payment

When you place an order through our Service, you warrant that you are legally entitled to make that purchase and that any payment information you provide is accurate and complete.

All prices are shown in US dollars unless otherwise stated. We reserve the right to correct pricing errors and to refuse or cancel any order where a pricing error has occurred.

Payment is processed securely by Stripe. We do not store your full payment card details on our servers.

7. Subscriptions

Some of our services are offered on a subscription basis. By starting a subscription, you authorise us to charge your payment method on a recurring basis at the rate and frequency shown at the time of purchase.

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account settings or by contacting us at [email protected].

Cancellation takes effect at the end of your current billing period. You will not be charged for the following period, but you will retain access to the service until your current period ends.

We reserve the right to change subscription pricing. We will give you reasonable advance notice of any price change, and your continued use of the subscription after the change takes effect will constitute your acceptance of the new price.

8. Refund Policy

Our refund policy varies by product type. Please check the individual product page for the specific refund terms that apply to your purchase. Our standard terms are as follows:

• Digital Michael top-ups and subscriptions – non-refundable once access has been granted
• Self-study programmes – eligible for a refund within 30 days of purchase
• Memberships – eligible for a refund within 7 days of your initial payment; subsequent renewal payments are refundable within 7 days of renewal.
• Live programmes – eligible for a refund up to 30 days before the programme start date; no refunds are available after that point

Where the product page states different refund terms, those terms take precedence over the standard terms above.

All refunds are subject to applicable law. If you experience a technical issue that prevents you from accessing a product you have purchased, please contact us at [email protected] and we will do our best to resolve it promptly.

9. Intellectual Property

All content on the Genius Catalyst Cafe website and within our services – including text, audio, video, images, course materials, and the Digital Michael AI – is the property of Genius Catalyst Inc. or its licensors and is protected by copyright, trademark, and other applicable law.

You may not copy, reproduce, distribute, publish, or create derivative works from any of our content without our express prior written permission.

Your use of any part of our Service does not grant you any right to use Michael Neill’s name, voice, likeness, or image, or the Genius Catalyst, Caffeine for the Soul, Supercoach, or Digital Michael brand names or trademarks, for any purpose.

10. Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that could damage, disable, or impair it
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Use the Service to transmit any unsolicited or harmful content
• Impersonate any person or misrepresent your affiliation with any person or organisation
• Use the Digital Michael service in a way that is harmful to yourself or others

11. Privacy

Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully to understand how we collect, use, and protect your personal data.

12. Third-Party Links & Services

Our Service may contain links to third-party websites or integrate with third-party platforms (such as the Apple App Store, Google Play, Telegram, or Stripe). We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party service. We encourage you to review the terms and privacy policies of any third-party service you use.

13. Disclaimer of Warranties

Our Service is provided “as is” and “as available” without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Service will be uninterrupted, error-free, or free from harmful components, or that any defects will be corrected.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Genius Catalyst Inc. and its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use our Service.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

15. Termination

We may suspend or terminate your access to our Service at any time, with or without notice, if we believe you have violated these Terms or if we decide to discontinue the Service. Upon termination, your right to use the Service will cease immediately.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the State of California. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the State of California, regardless of where you are located or where any alleged breach occurred.

Before commencing any legal proceedings, the parties agree to attempt to resolve any dispute through professional mediation in good faith.

For EU/UK users: Nothing in these Terms affects your rights under the mandatory consumer protection laws of your country of residence.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, by email. Your continued use of our Service after any changes take effect constitutes your acceptance of the revised Terms.
